Terms and conditions

General Terms and Conditions (GTC) of Varietur Trading GmbH for Online Sales of Motor Vehicles and Trailers

I. Conclusion of Contract

  1. A purchase contract is concluded when Varietur Trading GmbH (hereinafter referred to as "Seller") confirms the customer’s (hereinafter referred to as "Buyer") order in writing or electronically, or delivers the ordered goods.
  2. The Buyer is bound to their order unless the Seller rejects it within 14 days.
  3. The Buyer may transfer rights and obligations under the contract only with the Seller’s written consent.

II. Prices and Payment

  1. All prices are quoted in euros and include statutory value-added tax unless otherwise specified.
  2. The purchase price is due at the latest upon vehicle handover. For bank transfers, the amount must have been credited to the Seller’s account before the handover.
  3. The Buyer may offset claims only with undisputed or legally established counterclaims.
  4. For custom-configured vehicles, a down payment of 10% of the purchase price is required. Price changes between the order and the down payment are borne by the Buyer.
  5. In case of payment delay, the Seller is entitled to charge default interest at 5 percentage points above the base interest rate.

III. Delivery and Delay

  1. Delivery dates are non-binding unless expressly agreed otherwise in writing.
  2. In case of delivery delays due to force majeure or unforeseeable events, the Seller is entitled to extend the delivery period by the duration of the disruption.
  3. The Buyer may withdraw from the contract after an appropriate grace period has elapsed if the Seller fails to deliver. Claims for damages are limited to foreseeable, typical damages.
  4. The pick-up location is the Seller’s place of business unless otherwise agreed.

IV. Acceptance

  1. The Buyer is obligated to accept the vehicle within 8 days of notification of readiness.
  2. If the Buyer fails to meet this obligation, the Seller may claim damages amounting to 15% of the purchase price, unless the Buyer proves that a lower or no damage occurred.

V. Retention of Title

  1. The vehicle remains the property of the Seller until full payment is made.
  2. The Buyer may not sell or pledge the vehicle during the retention of title period.
  3. In the event of payment default, the Seller is entitled to withdraw from the contract and demand the return of the vehicle.

VI. Warranty and Liability for Defects

  1. Claims by the Buyer for defects expire after 2 years for consumers and 1 year for businesses from the date of vehicle delivery.
  2. Defects must be reported to the Seller in writing without delay.
  3. The Seller’s liability for defects is limited to rectification or replacement. Further claims are excluded, to the extent permitted by law.

VII. Liability

  1. The Seller is fully liable for intent and gross negligence as well as for damages resulting from injury to life, body, or health.
  2. In cases of slight negligence, the Seller’s liability is limited to breaches of essential contractual obligations, capped at foreseeable, typical damages.
  3. Liability for indirect damages, consequential damages, loss of profit, or damages caused by third parties is excluded to the extent permitted by law.
  4. Liability for other damages is excluded unless the Seller acts intentionally.

VIII. Data Protection

  1. The Seller collects and processes the Buyer’s personal data only in accordance with applicable data protection laws. Further details can be found in the privacy policy on our website.

IX. Right of Withdrawal

  1. Consumers have the right to withdraw from the contract within 14 days without giving any reason, provided it is a distance selling contract.
  2. The withdrawal must be made in writing to the Seller. The Buyer bears the costs of return.
  3. The right of withdrawal does not apply to custom-made or configured vehicles.

X. Jurisdiction and Applicable Law

  1. The place of jurisdiction for all disputes is the Seller’s registered office, provided the Buyer is a merchant.
  2. The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

XI. Final Provisions

  1. Amendments or additions to these GTC must be made in writing.

  2. If any provision of these GTC is invalid, the validity of the remaining provisions remains unaffected.

  3. These GTC are written in German. In case of discrepancies with other language versions, the German version is decisive.

  4. The Seller assumes no liability for damages caused by improper use, transport, or external influences, to the extent permitted by law.
